1. Acceptance of Terms

By accessing or using the BoazPay website (boazpay.com), submitting a merchant application, or participating in our ISO Agent Program, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our services. These Terms constitute a legally binding agreement between you and BoazPay.

2. Eligibility

You must be at least 18 years of age and have the legal authority to enter into contracts on behalf of yourself or your business entity. By using our services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

3. Services Provided

BoazPay provides the following services:

• High-risk merchant account applications and referrals to acquiring banking partners
• Payment gateway integration and support
• ISO Agent Program for independent sales organizations and agents
• Chargeback management consulting and mitigation tools
• Informational resources, blog content, and industry guides

BoazPay acts as an intermediary and ISO (Independent Sales Organization). Final approval of merchant accounts is made by our acquiring banking partners, not by BoazPay directly.

4. Application Process

Submitting a merchant or agent application does not guarantee approval. All applications are subject to underwriting review, KYC/AML due diligence, and the policies of our acquiring bank partners. We reserve the right to decline any application without providing a reason. You agree to provide truthful and complete information and acknowledge that providing false or misleading information may result in immediate termination and potential legal liability.

5. ISO Agent Program

Participation in the BoazPay ISO Agent Program is governed by a separate Agent Agreement that you will enter into upon approval. These Terms apply in addition to any such agreement. Agents must comply with all applicable laws, card network rules, and BoazPay's policies. Commission structures and residual rates are defined in the Agent Agreement and may be modified with 30 days' written notice.

6. Prohibited Uses

You agree not to use our website or services to:

• Engage in fraudulent, deceptive, or illegal activities
• Process payments for goods or services prohibited by card network rules or applicable law
• Misrepresent your business type, ownership structure, or processing history
• Scrape, copy, or redistribute content from our website without authorization
• Introduce malware, viruses, or harmful code into our systems
• Harass, threaten, or harm any individual or organization
• Violate any applicable local, national, or international law or regulation

7. Intellectual Property

All content on the BoazPay website — including text, graphics, logos, images, and software — is the property of BoazPay or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our prior written consent.

8. Third-Party Links and Services

Our website may contain links to third-party websites or services. BoazPay is not responsible for the content, privacy practices, or terms of any third-party sites. Links do not constitute endorsement. We encourage you to review the terms and privacy policies of any third-party sites you visit.

9. Disclaimers and Limitation of Liability

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in Miami, Florida. You waive any right to a jury trial or class action.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via our website or email. Continued use of our services after the effective date of changes constitutes your acceptance of the revised Terms.

13. Termination

BoazPay may suspend or terminate your access to any services at our discretion, with or without notice, for any violation of these Terms or for any other reason. Upon termination, all provisions that by their nature should survive will remain in effect.
